ASSOCIATION OF LONG ISLAND HOUSING AGENCIES

BY-LAWS


ARTICLE I

Name and Principal Office

The name of the association shall be the Association of Long Island Housing Agencies (ALIHA), and its principal office shall be in the locality represented by the President of the said association, or wherever the Executive Committee may designate.

 

ARTICLE II

Purpose of the Association

The purpose of the association shall be to provide for an exchange of information and experience among its members; to serve as a clearing-house for information on the region's housing needs; to communicate and coordinate with HUD and other governmental entities on matters of concern to member agencies; to carry out other activities which the membership may deem appropriate to facilitate the operation of housing programs and to assist agencies in meeting housing needs.

 

ARTICLE III

Non-Binding Decisions

The decisions of the association shall not be binding on the individual member agencies.

 

ARTICLE IV

Membership

Section 1. Membership shall be open to every agency in Nassau and Suffolk Counties which operates any HUD-funded Section 8 Housing Assistance Program.

Section 2. Affiliate (non-voting) membership shall be open to individuals who have been employees of agencies eligible for membership in ALIHA or who do business as attorneys, advocates or consultants with member agencies.

 

ARTICLE V

Meetings

Section 1. Regular meetings of the association shall be held at least five (5) times each year. The time and place of each regular meeting shall be determined by the President or his or her designee. Written notice of meetings shall be provided at least ten (10) days in advance.

Section 2. The annual meeting shall be the regular meeting held in November of each year.

Section 3. Motions shall be carried by a majority of member agencies present, except for motions to amend the bylaws.

Section 4. Representatives of seven (7) of the member agencies must be present at a duly called meeting to constitute a quorum.

Section 5. Special meetings may be called by the President upon five (5) days written notice to the members.

Section 6. Meetings shall be open to all employees of any member agency and such persons as the Executive Committee shall invite.

Section 7. Each member agency shall have one (1) vote and there shall be no voting by proxy.

 

ARTICLE VI

Elections

Section 1. The annual election and installation of officers shall take place at the annual meeting in November of each year.

Section 2. A majority vote of member agencies present shall be necessary to elect officers.

Section 3. Each member agency shall have one (1) vote.

Section 4. The President shall, at a regular meeting at least thirty (30) days prior to the annual meeting, appoint a nominating committee consisting of at least two (2) and not more than four(4) members of the association and delegate one (1) member to act as its Chairperson. The Chairperson, or member appointed by the Chairperson, shall render its report to the membership at the annual meeting in January of each year. The names of the persons and the offices for which they have been recommended, respectively, shall then be placed in nomination, either by a member of the nominating committee or a member of the association, duly seconded, may be made from the floor up to and including the meeting at which the annual election is held. Nominations must include at least one person from a member agency located in Suffolk County and one person from a member agency located in Nassau County.

Section 5. Voting shall be by voice or by ballot.

Section 6. Each term of office shall begin and coincide with the fiscal year immediately after the annual meeting and shall continue until the end of that fiscal year, or until the successor takes office. The fiscal year of the association shall be from January 1st to December 31st. Vacancies shall be filled by appointment of the Executive Committee until the next annual election, or by a special election at the discretion of the Executive Committee.

ARTICLE VII

Officers

The officers of the association shall be a President, Vice-President, Treasurer and Recording Secretary, each of whom shall be an employee of a different member agency. If necessary due to lack of interest, two persons from one member agency shall be allowed to serve as Officers, so long as, prior to the election the member agencies are advised and consent is given, such consent shall be a majority vote during the annual elections.

ARTICLE VIII

Duties of Officers

Section 1. President. The President shall serve as Chairperson of the Executive Committee. He or she shall preside at all meetings of the Executive Committee and at all meetings of the association. The President shall execute all agreements and shall be an authorized signatory on all bank accounts.

Section 2. Vice President. The Vice President shall act for the President in his or her absence, shall prepare correspondence for the association, and shall perform other duties as may be assigned to him or her by the President, the Executive Committee or by the association. The Vice-President shall be an authorized signatory on all bank accounts.

Section 3. Treasurer. He or she shall be responsible for any funds or the association and for keeping accounts relating to receipts and expenditures of the association and for making reports at regular meetings. The Treasurer shall be an authorized signatory on all bank accounts.

Section 4. Recording Secretary. He or she shall be responsible for keeping and distributing minutes of all meetings. The Recording Secretary shall be an authorized signatory on all bank accounts.

 

ARTICLE IX

Executive Committee

Section 1. The activities of the association shall be administered by the Executive Committee which shall consist of the officers of the association.

Section 2. The Policies of the association shall be carried out by the Executive Committee.

ARTICLE X

Committees

The President shall appoint committees as deemed necessary. The term of such committees shall expire when their purpose has been accomplished, and in no case shall extend beyond the term of the appointing President. Committees shall not contain more than five (5) members and no one person shall serve on more than two (2) committees. Committees shall report to the association as directed by the Executive Committee.

ARTICLE XI

Dues

Membership dues of the association shall be set by the Executive Committee, and shall be payable within thirty (30) days of notification.

ARTICLE XII

Amendments

These bylaws may be amended by a two-thirds vote of the members present at a meeting, providing written notice of the proposed amendment is sent to each member at least five (5) days prior to the meeting at which the amendment is to be voted upon.

ARTICLE XIII

Rules of Order

Except as herein provided, whenever a decision as to rules of order is required, Robert's Rules of Order shall govern the conduct of this association's meetings.
